    These Terms of Use ("Terms") govern the access to and use of the ProChart platform, including all associated websites, applications, services, tools, analyses, reports, content, and AI-generated outputs (collectively, the "Platform").

    By accessing, registering for, or using the Platform, the user confirms that they have read, understood, and agreed to be bound by these Terms in full. If the user does not agree to these Terms, they must not use the Platform.

    1. Nature and Purpose of the Platform

    ProChart is a market intelligence and analytical software platform designed solely to provide informational and educational content related to financial markets.

    The Platform may utilize:

    • Artificial intelligence and machine learning models
    • Third-party data providers and public information sources
    • Technical, fundamental, macroeconomic, and sentiment-based analytical methodologies

    ProChart does not operate as a trading platform, does not execute trades, does not manage assets, and does not provide regulated financial services.

    2. No Investment Advice / No Advisory Relationship

    All content provided by the Platform, including but not limited to analyses, reports, probabilities, forecasts, scores, summaries, comparisons, or conclusions (collectively, "Content"), is provided for informational and educational purposes only.

    Nothing on the Platform constitutes, or should be construed as:

    • Investment advice
    • Financial advice
    • Trading advice
    • Legal or tax advice
    • A recommendation, solicitation, or offer to buy, sell, or hold any financial instrument

    ProChart is not a registered investment advisor, broker-dealer, financial institution, or fiduciary under the laws or regulations of the United States (SEC), the European Union (ESMA), or any other jurisdiction.

    Use of the Platform does not create any fiduciary duty, advisory relationship, or obligation of care between ProChart and the user.

    3. Artificial Intelligence Disclosure and Limitations

    The user expressly acknowledges and agrees that:

    • The Platform relies, in whole or in part, on artificial intelligence systems
    • AI-generated outputs may contain errors, inaccuracies, omissions, or misleading interpretations
    • Outputs may be incomplete, outdated, biased, speculative, or incorrect
    • Market conditions may change rapidly and may not be reflected in real time
    • Third-party data sources may be inaccurate, delayed, incomplete, or unavailable

    ProChart makes no representations or warranties regarding the accuracy, completeness, reliability, timeliness, or suitability of any Content.

    4. User Responsibility and Independent Judgment

    The user acknowledges and agrees that:

    • All decisions made based on Platform Content are taken at the user's sole discretion
    • The user bears full responsibility for independently verifying any information
    • The user is solely responsible for any financial decision, trade, action, or outcome
    • The Platform is intended to serve as one informational input among many, and not as a decision-making engine or substitute for professional judgment

    5. No Guarantees or Assurances

    ProChart does not guarantee:

    • Accuracy or correctness of analyses
    • Market performance or outcomes
    • Trading success or profitability
    • Risk reduction
    • Predictive validity of any model, probability, or scenario

    Past performance, simulations, probabilities, or historical data do not guarantee future results.

    6. Limitation of Liability

    To the maximum extent permitted by applicable law, ProChart, its owners, affiliates, employees, contractors, data providers, licensors, and partners shall not be liable for any:

    • Direct or indirect losses
    • Financial or trading losses
    • Loss of profits, data, or business opportunities
    • Reliance damages
    • Errors, omissions, interruptions, or delays

    This limitation applies regardless of the legal theory of liability and even if ProChart has been advised of the possibility of such damages.

    The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind.

    7. Platform Modifications and Availability

    ProChart reserves the right, at its sole discretion and without prior notice, to:

    • Modify, suspend, or discontinue any feature or functionality
    • Change AI models, analytical logic, or data sources
    • Adjust credit usage, pricing, or subscription terms
    • Restrict or terminate access to the Platform

    ProChart shall not be liable for any modification, suspension, or discontinuation of the Platform or any part thereof.

    8. Acceptable Use

    The user agrees not to:

    • Use the Platform for unlawful purposes
    • Represent the Platform as providing regulated or personalized financial advice
    • Attempt to reverse engineer, exploit, or bypass system safeguards
    • Circumvent usage limits, credit mechanisms, or access controls
    • Assert claims based on reliance on Platform Content

    9. Intellectual Property

    All intellectual property rights in and to the Platform, including software, algorithms, models, reports, interfaces, branding, and Content, are owned exclusively by ProChart or its licensors.

    No rights are granted except as expressly stated in these Terms.

    10. Indemnification

    The user agrees to indemnify, defend, and hold harmless ProChart from and against any claims, damages, losses, liabilities, costs, or expenses arising out of:

    • The user's use of the Platform
    • The user's reliance on Platform Content
    • The user's violation of these Terms
    • The user's violation of applicable laws or regulations

    11. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-law principles.

    The exclusive jurisdiction for any dispute, claim, or legal proceeding arising out of or relating to these Terms or the use of the Platform shall be vested solely in the competent courts located in Tel Aviv–Yafo, Israel.

    12. Returns and Refund Policy

    By making a purchase or subscription, the user confirms that they have read, understood, and agree to the terms of the Refund Policy.

    Important: These Terms constitute a legally binding agreement.
